Given a situation where 3 people get together to form a startup, 1 of which had the seed idea (non developer type) and the other two from a development back ground. In parallel to development the 3 try to also formally organize themselves into an LLC. During this process serious conflicts begin to emerge between the 3 of them, so much so that they can no longer go forward together. Obviously the seed idea now has significant meet around the bones, who owns what, or are ideas just ideas and can’t be owned? Is there any legal implication to each person splitting and taking their current knowledge and trying to go it on their own?
