if xmlns attribute is defined on an element, all children element inherits it as namespace unless specified, so the 2nd Xml is valid. Both are valid, but the consuming application has a stupid parser, which i think not able to parse fully qualified names, as it asks me for missing 'name ' element in 'rule'

That doesn't help. JAXB falls back nicely to using default namespace prefixes ns1, ns2 etc, if more than one namespaces prefixes are same. Note: I put sout in getPreferredPrefix method, and it prints, so I'm sure this class is being used.
